Since 2014 a work group of the Oregon State Bar has been reviewing ORS Chapter 65 to identify provisions that needed clarification or modernization. After nearly four years and a lot of effort by the work group, SB360 was drafted and the bill was passed into law in the last legislative session. The changes to ORS 65 will go into effect on January 1, 2020. The statutory changes will affect the way all nonprofits in Oregon work and act.
The session will cover simplified rules for majority voting, allowances for voting by email, modifications to the conflicts of interest provisions and changes to a number of requirements for membership nonprofits.
